Terms of Service

These Terms of Service govern your access to and use of ValidateKey, a product of SparxNovate LLC ("SparxNovate," "we," "us," or "our"). By creating an account, enrolling a credential, or using ValidateKey, you agree to these Terms.
1. What ValidateKey does
ValidateKey provides identity and access verification tools. Depending on the workflow, the service may use a platform passkey, a live video presence check, profile information, and a backup PIN to help verify an individual or an organization representative.
ValidateKey is a verification service, not a government identity document, background check, credit report, legal opinion, or guarantee that a person, organization, claim, or transaction is legitimate. You are responsible for deciding what action to take from a verification result.
2. Eligibility and accounts
- You must be legally able to enter a binding agreement where you live.
- You must provide information that is accurate, current, and not misleading.
- You must keep your username, passkey-enabled device, and backup PIN secure.
- You may not create an account for another person without their authorization.
- You must promptly tell us if you believe your account or device has been misused.
You are responsible for activity performed through your account and for obtaining any consent required from people whose information you submit or ask us to verify.
3. Passkeys, fingerprint readers, and live checks
A fingerprint reader is used by your device's operating system to unlock a passkey. The browser and operating system return a cryptographic assertion to ValidateKey; ValidateKey does not receive a raw fingerprint image through this workflow. The availability and behavior of Touch ID, Windows Hello, Android biometrics, passkeys, cameras, and browsers are controlled by third parties and may vary by device.
A live video check asks you to complete movement instructions such as blinking or turning your head. You must perform the instructions yourself and may not use a photograph, recording, synthetic media, or another person to defeat the check. A successful check is an assurance signal, not an absolute statement of identity.
4. Acceptable use
You may use ValidateKey only for lawful, authorized purposes. You may not:
- Use the service to impersonate someone or submit false identity information.
- Attempt to bypass, probe, reverse engineer, or interfere with a verification control.
- Use automation, synthetic media, malware, or a compromised device to mislead the service.
- Access another person's account, profile, organization, or API credentials.
- Use the service to discriminate unlawfully, harass, defraud, or harm another person.
- Resell or expose the service in a way that violates an agreement with SparxNovate.
- Send unreasonable traffic, malicious code, or requests that could impair the service.
5. Enterprise API and organization use
Organizations are responsible for their administrators, members, API keys, integrations, notices, and legal basis for collecting or verifying information. An organization must limit access to people who need it, protect its API keys, and promptly disable keys that are lost, exposed, or no longer needed.
API responses are intended for the customer and its authorized systems. Customers must not treat a response as permission to make a decision that is prohibited by applicable law. Enterprise features may have additional written terms, service limits, or pricing terms that control if they conflict with these Terms.
6. Fees and third-party services
Any fees, usage limits, or payment terms shown for a specific plan or enterprise order apply to that plan or order. ValidateKey relies on third-party browsers, operating systems, device authenticators, hosting, email, and other infrastructure. Those services are outside SparxNovate's control, and their own terms and availability may apply.
7. Ownership and feedback
SparxNovate and its licensors own ValidateKey, including its software, design, branding, documentation, and related intellectual property. We grant you a limited, revocable, non-exclusive, non-transferable right to use the service as permitted by these Terms. You retain rights in information you submit. If you send suggestions or feedback, you allow us to use it without restriction or payment, provided we do not identify you publicly without permission.
8. Availability, disclaimers, and liability
ValidateKey is provided on an "as is" and "as available" basis. To the extent allowed by law, SparxNovate disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not promise that every device, browser, biometric reader, camera, passkey, or integration will work or that any verification will prevent fraud.
To the extent allowed by law, SparxNovate will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption arising from your use of the service. Our total liability for claims related to the service will not exceed the amount you paid us for the service during the twelve months before the event giving rise to the claim, or 100 USD if you paid nothing. These limits do not apply where the law does not permit them.
9. Indemnity
To the extent permitted by law, you agree to defend and indemnify SparxNovate and its officers, employees, and contractors against claims, losses, liabilities, and expenses arising from your misuse of ValidateKey, your violation of these Terms, or your failure to obtain required consent from a person whose information you provide.
10. Suspension and termination
You may stop using ValidateKey at any time. We may suspend or terminate access when we reasonably believe it is necessary to protect the service, users, an organization, or the public, to investigate misuse, to comply with law, or when an account remains inactive or unpaid under applicable plan terms. Provisions that by their nature should survive, including ownership, disclaimers, liability limits, indemnity, and dispute provisions, will survive termination.
11. Changes and general terms
We may update these Terms when the service or law changes. We will post the revised Terms and update the date above. Continued use after an update means you accept the revised Terms. If a provision is unenforceable, it will be limited to the minimum extent needed, and the rest will remain effective. These Terms and any applicable written enterprise agreement are the entire agreement about ValidateKey and replace earlier statements about the same subject.
These Terms are governed by the laws that apply to SparxNovate LLC's applicable place of business, without regard to conflict-of-law rules, except where consumer protection law requires otherwise. Before bringing a formal claim, please contact SparxNovate through your ValidateKey support channel so we can try to resolve the issue.
